Sample license structure

What an HW Entertainment license covers, section by section, in plain language. Money and buyer details are redacted.

Sample structure; final terms are in your signed license. This page is an outline, not a license and not legal advice. It does not state the terms of any particular deal.

  1. 01

    Parties

Who is granting the license and who is receiving it.

Licensor: HW Entertainment LLC. Licensee: buyer redacted

  2. 02

    The recording

Exactly which recording is licensed, so there is no doubt about what you bought: title or catalog ID, the artist it is associated with, and the files delivered.

  3. 03

    Grant of rights

What you are allowed to do with the recording, for example use it in your song and release it. Anything not granted is not included.

  4. 04

    Territory

Where in the world you may use the recording.

  5. 05

    Term

    How long the license lasts.

  6. 06

    Exclusivity

Whether the license is exclusive to you, or non-exclusive. If it is non-exclusive, it states how many other licensees can hold the same recording.

  7. 07

    Name and likeness

How the artist’s name may be used. For a catalog recording, name use is limited to what this clause says (for example a “feat.” credit in release metadata), and whether any photo or artwork use is allowed. A license is not an endorsement.

  8. 08

    Writer and publishing split

The songwriting and publishing percentages for the finished song. These are recorded on the split sheet you receive.

  9. 09

    Royalties

Whether any royalties are shared and how.

  10. 10

    Price and payment

The amount and how it is paid.

    Amount: price redacted

  11. 11

    Delivery

What you receive and when: the signed license, the split sheet, and the audio files (stems where included).

  12. 12

If a distributor removes or flags the release

What happens if DistroKid or another distributor or platform removes, blocks or questions the release: who responds, which documents are provided, and what remedy, if any, applies.

  13. 13

    Signatures

Both parties sign. The signed version is the only one that counts.

    Signed: signatures redacted
